Sears has nice tools. Me likey my craftsman stuff.

K-mart seems like a ghetto outfit to me. In my opinion, this just kinda cheapens the Sears name.

I mean, look... K-Marts friggin' spokeswoman is in jail...

So my question is ... what's the over/under on the period of time that it will take for the quality of Craftsman and Kenmore to become no more than a distant memory ? ... whatever it is, it won't take long for those long-respected brands to join the rest of the K-Mart Fall Apart line ...

Martha Stewart appears in a lot of K-Mart ads ... not actually a K-Mart spokesman so much a spokesman for her own line of stuff that is sold at K-Mart

There had to be some kind of agreement between Sears and Kmart brass to make sure they keep the brand names intact. The whole idea here is to compete with Wal-Mart and Target who seem to have sucked in the consumer by demanding the lowest costs from their suppliers thus "passing this savings" on to us consumers.

Wal-Mart killed the little guy a long time ago. It was just a matter of time before the big guys started falling. Sort of what Home Depot and Lowes did to the Mom & Pop's then moved on to Homebase, Menards, Builder's Square, Thrifty Lumber and others.

In order to compete, and STAY IN BUSINESS 20 years from now, Sears had to do this.

I look for consolidation, which means jobs will get slashed, wages and benefits cut, and lots of Kmarts and Sears stores to close in some areas, and the

to get into development of the sites vacated by the retail outlets. Remember, Kmart is just a holding company that now owns the stocks of both companies and all the real estate.

Kinda sad really--we're killing off small American businesses just so we can buy cheap, imported goods.

We're doing it to ourselves. You'll eventually buy a Chinese Craftsman hammer that cracks when you hammer a nail...

At some point we may join the Third, I mean the "Developing World". Enjoy, until then.

They've already been on the shelves of Sears stores for about 5 years now, they're called "Companion" brand tools. I can get the same thing from a tool wholesaler for about 1/2 of what Sears charges, and also in the Harbor Freight catalog and stores. Just not under the Companion brand. Not the worst I've ever used, just not the same guarantee, and definitely NOT CRAFTSMAN.

I quit buying Craftsman tools new years ago. My father-in-law used to collect broken Craftsman tools and once a year, right around Christmas, would take a toolbox full into the local Sears store and exchange everything. The clerks hated it. I thought it was great, and never bought another thing new...

BTW, I read somewhere that many of the Chinese tools are smelt by peasant "craftsmen" in homemade ovens from their backyards.

The thing I don't understand is....a few years back, about 2-3 years ago, K Mart was filing for bankruptcy. My mom lost her job with a merchandising company that worked in K Mart, because of this. Now how could they have gotten back on their feet so fast and now purchase Sears?

Because Jess, We bailed them out (American Taxpayers) and it wasn't under the blue light and we didn't get any specials.. not even a Kiss...

Look at American Airlines after 911..bankrupsy... we also bailed them out... a few months later they buy up Southwest I think it was... it's a numbers game...

Jess, your question is a fair one and the answer is one of the miracles of politics and finance. Under the bankruptcy agreement, the government would protect Kmart from it's creditors while it restructures it's finances. To do that, it had to close some 500 stores, lay off thousands of workers and NOT HAVE TO SHOW A PROFIT while they raised cash. They then floated a high interest bond issue, raising millions of dollars and are now in the process of paying off the bonds. Here's the scary part....Kmart had bought back almost all of it's own stock and became a "Holding" company. Then, they reverse spilt all stock, made 10 shares into one, which increased in value with all the cash they raised, enough for it to be of the same relative value of Sears, and they did a one for one swap with Sears and DID NOT COST THEM A PENNY. Now Kmart and sears combined become the 3rd largest retailer in the US. By 2015, all debts should be paid off.

This is not only legal, the CEO of Kmart Holdings will make close to $1 Billion dollars on the move as the stock prices of both companies shot through the roof yesterday. If I were him, I'd be kissing Wal-Mart's ass right about now. It would not have happened if Wal-Mart were not such a threat to the US econommy.

Makes total sense. Just really sucks that so many people had to lose their jobs and now this. I refuse to shop there, no matter what it is for.

Kmart's reorganization called for the retailer to cancel its current stock and reissue 500 million shares of common stock at a penny each and 20 million shares of preferred stock issued at the board of directors' discretion. Creditors got shares of stock as partial repayment of Kmart's debt. They were owed $1.08 billion and the plan's estimated recovery amount was just 40 percent.
Former common stockholders got nothing under the plan. I never saw anything about a 10-for-1 reverse split.
